Terms of Service

Effective May 15, 2026.

1. Agreement

These Terms of Service ("Terms") are a contract between you and Centralized Pool Service & Supply LLC("CPSS," "we," "us"). They govern your use of the CPSS website, customer portal, and partner portal (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What the Service does

CPSS supplies pool equipment and runs centralized warranty support. Independent pool service partners use the Service to order equipment, manage service requests, and serve their customers. Customers use the Service to view their pool equipment, warranties, service history, and to communicate with their partner.

CPSS is the supplier and platform operator. Your pool service partner is an independent business that performs installation, maintenance, and on-site service. CPSS is not your service partner and does not perform pool installation or maintenance for end customers.

3. Accounts

  • You must provide accurate information when creating your account and keep it current.
  • You are responsible for activity under your account and for keeping your sign-in credentials confidential. Notify us immediately if you suspect unauthorized access.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
  • Partner accounts are subject to a separate written agreement with CPSS. In the event of a conflict between these Terms and that agreement, the partner agreement controls for that partner.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to access data belonging to another tenant, customer, or partner.
  • Reverse engineer, scrape, or interfere with the Service or circumvent any security controls.
  • Upload malware, infringing content, or material that violates another person's privacy or rights.
  • Use the Service to send unsolicited commercial messages, or to contact customers without their consent.

5. Communications and SMS

By creating an account, you consent to receive transactional email from CPSS or your partner about your account, orders, service requests, and warranties. SMS messages are sent only after you have explicitly opted in to text messaging, as described in our Privacy Policy. You may opt out of SMS at any time by replying STOP or by unchecking SMS consent in your profile. Message and data rates may apply.

6. Orders, pricing, and warranties

Equipment orders placed through the Service are between the partner and CPSS. CPSS confirms pricing and availability at the time of order acceptance. Errors in posted pricing or availability may be corrected before the order is accepted.

Manufacturer warranties on equipment are governed by the applicable manufacturer's terms. CPSS coordinates warranty support for partner-installed equipment as a convenience and is not the warrantor unless expressly stated in writing.

7. Customer data and tenant isolation

Each partner is a separate tenant. Partners can see only the customers, properties, and service records that belong to their tenant. CPSS administrators may access tenant data to operate, support, and secure the Service, subject to our Privacy Policy.

8. Intellectual property

The Service, its software, design, and content are owned by CPSS or its licensors and are protected by intellectual property laws. CPSS grants you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the content you submit to the Service and grant CPSS a license to use it to operate the Service.

9. Third-party services

The Service relies on third-party vendors for hosting, authentication, payments, messaging, and similar functions, as listed in our Privacy Policy. CPSS is not responsible for the independent acts or omissions of those vendors, and any third-party content surfaced in the Service is governed by the applicable third party's terms.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CPSS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CPSS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CPSS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. CPSS'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO CPSS DURING THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, IN WHICH CASE THEY APPLY TO THE EXTENT PERMITTED BY LAW.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if continuing to provide the Service is no longer commercially reasonable. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.

13. Governing law and venue

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware County, Ohio, and you consent to personal jurisdiction there.

14. Changes

We may update these Terms from time to time. Material changes will be announced in-app or by email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
